1. Definitions
“Company” refers to Ecom Boost. “Client” refers to any business or individual engaging Ecom Boost’s services. “Services” means the digital marketing, store optimization, paid campaigns, email automation, and CRO offerings provided by Ecom Boost.
2. Services
Ecom Boost agrees to perform the Services as detailed in your signed proposal or Statement of Work. Services may include:
- Store Setup & Optimization
- Paid Campaign Management
- Email Flows & Automation
- Conversion Rate Optimization
- Custom analytics and reporting
3. Client Obligations
- Provide timely access to website, analytics, ad accounts, and any required credentials.
- Supply accurate branding assets, product details, and promotional materials.
- Respond promptly to feedback requests and approvals.
- Adhere to all applicable laws and platform policies for advertising content.
4. Fees & Payment
Client agrees to pay the fees specified in the proposal. Payment terms are:
- Billing Cycle: Monthly in advance, due within 7 days of invoice.
- Late Payments: Overdue balances incur 2% interest per month.
- Ad Spend: Separately billed—Client funds ad accounts directly or reimburses Ecom Boost.
All fees exclude applicable taxes, which are the responsibility of the Client.
5. Intellectual Property
Ecom Boost retains ownership of all methodologies, templates, code libraries, and proprietary tools used in delivering Services. Client retains ownership of any assets provided (logos, images, content) and any final deliverables specified for assignment.
6. Confidentiality
Both parties agree to maintain the confidentiality of non-public information exchanged in connection with Services. Confidential information may only be used to perform obligations under these Terms.
7. Limitation of Liability
To the maximum extent permitted by law, Ecom Boost’s total liability under these Terms shall not exceed the fees paid by Client in the 3 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
8. Indemnification
Client agrees to indemnify and hold harmless Ecom Boost and its personnel from any claims arising out of Client’s materials, content, or breach of these Terms.
9. Term & Termination
These Terms commence on the effective date of the first invoice and continue monthly until terminated.
- By Client: 30 days’ written notice.
- By Company: Immediate on material breach if uncured within 14 days.
10. Governing Law
These Terms are governed by the laws of India, without regard to conflict of laws principles. Any disputes shall be resolved in the courts of New Delhi.
11. Amendments
Ecom Boost may update these Terms periodically. We will notify Clients of significant changes via email and post the revised date at the top of this page.
